Terms of Service

These Terms of Service ("Terms") govern your use of VoltraAI, an AI-powered advertising management platform operated by NextGen Business Solutions. By using VoltraAI, you agree to these Terms.

1. Service Description

VoltraAI is an AI-powered advertising management platform that automates campaign creation, optimization, and reporting across Meta (Facebook/Instagram), Google Ads, TikTok, and X (formerly Twitter). Our platform uses artificial intelligence to manage your advertising campaigns, generate ad creative, optimize bidding strategies, and provide performance analytics.

2. Eligibility

To use VoltraAI, you must:

  • Be at least 18 years of age
  • Have the legal authority to bind yourself or your business to these Terms
  • Provide accurate and complete registration information
  • Comply with all applicable laws and advertising platform policies

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

VoltraAI offers subscription plans with optional add-ons. Billing is processed securely through Stripe.

  • Subscription fees are billed monthly or annually, depending on the plan selected.
  • Add-on services (e.g., Paid Ads management at $149/month) may be added or removed at any time, with charges prorated accordingly.
  • All fees are non-refundable unless otherwise stated or required by law.
  • We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Ad Spend and Client Funds

You are responsible for funding your own advertising accounts directly with each ad platform. VoltraAI manages how your budget is allocated and spent, but all ad spend is charged directly by the ad platforms to your account. VoltraAI does not hold, transfer, or custody client advertising funds. You are solely responsible for all advertising costs incurred through campaigns managed by VoltraAI.

6. OAuth Authorization and Ad Account Access

By connecting your advertising accounts via OAuth, you grant VoltraAI permission to:

  • Create, edit, pause, and delete advertising campaigns
  • Adjust budgets, bids, and targeting parameters
  • Access performance data and analytics
  • Generate and publish ad creative

You may revoke this access at any time by disconnecting your ad accounts through your VoltraAI dashboard or directly through the ad platform's settings. Revoking access will stop VoltraAI from managing your campaigns but will not affect campaigns already running.

7. Intellectual Property

Your Content: You retain ownership of all content, data, brand assets, and materials you provide to VoltraAI. You grant us a limited license to use this content solely to provide our services.

Our Platform: VoltraAI, including its software, algorithms, interface, documentation, and branding, is the intellectual property of NextGen Business Solutions. You may not copy, modify, distribute, or reverse-engineer any part of our platform.

8. AI-Generated Content

VoltraAI uses artificial intelligence to generate ad copy, creative suggestions, and campaign strategies. You acknowledge that:

  • You are responsible for reviewing all AI-generated ad content before it goes live, unless you have enabled auto-approve features.
  • If auto-approve is enabled, you accept responsibility for all content published automatically on your behalf.
  • AI-generated content should be reviewed for accuracy, brand alignment, and compliance with advertising platform policies.
  • VoltraAI does not guarantee that AI-generated content will be free of errors or will comply with all applicable laws and regulations.

9. Acceptable Use

You agree not to use VoltraAI to:

  • Promote illegal products, services, or activities
  • Create misleading, deceptive, or fraudulent advertisements
  • Violate any ad platform's terms of service or advertising policies
  • Infringe on the intellectual property rights of others
  • Interfere with or disrupt the platform's operation

10. Ad Platform Compliance

You acknowledge that campaigns managed through VoltraAI must comply with each connected platform's advertising policies, including but not limited to:

  • Meta: Meta Advertising Standards and Meta Platform Terms
  • Google: Google Ads Policies and Google API Services Terms of Service
  • TikTok: TikTok Advertising Policies and TikTok for Business Terms
  • X: X Ads Policies and X Developer Agreement

VoltraAI will use commercially reasonable efforts to generate compliant ad content, but you are ultimately responsible for ensuring all advertisements comply with applicable platform policies and local laws.

11. Limitation of Liability

To the maximum extent permitted by law:

  • VoltraAI is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not guarantee specific advertising results, return on ad spend, conversion rates, or campaign performance outcomes.
  • Our total liability to you shall not exceed the fees you paid to VoltraAI in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
  • We are not responsible for actions taken by ad platforms, including account suspensions, policy violations, or changes to their APIs.

12. Indemnification

You agree to indemnify and hold harmless NextGen Business Solutions, its officers, employees, and agents from any claims, damages, or expenses arising from your use of VoltraAI, your advertising content, or your violation of these Terms.

13. Termination

Either party may terminate these Terms at any time:

  • By you: Cancel your subscription through your account settings or by contacting us.
  • By us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.

Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted. Active campaigns will be paused but not deleted from the ad platforms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in the State of Florida, conducted in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs of arbitration.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email. Your continued use of VoltraAI after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you may terminate your account.
